1. Acceptance of Terms

By accessing yourbizsite.ca, requesting a quote, or engaging the services of Brents Essentials Corp ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These Terms apply to all visitors, clients, and anyone who interacts with our website or engages our services.

2. Services

Brents Essentials Corp provides website design, website development, digital marketing, lead generation, and business consulting services to small businesses, primarily in Ontario, Canada.

The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate project proposal or service agreement provided to you before work begins. These Terms apply in addition to any such agreement.

We reserve the right to decline any project request at our sole discretion.

3. Project Process & Client Responsibilities

A successful project depends on timely collaboration. As a client, you agree to:

• Provide all necessary content, materials, images, and information within the timeframes agreed upon
• Review and provide feedback on deliverables within a reasonable timeframe (typically 5–7 business days unless otherwise agreed)
• Designate a single point of contact for project communications to avoid conflicting instructions
• Ensure that any content, logos, or materials you provide do not infringe on third-party intellectual property rights

Delays caused by the client — including late content delivery or prolonged feedback periods — may result in project timeline extensions and are not grounds for a refund or fee reduction.

4. Payment Terms

Payment structures vary by project and will be clearly specified in your project proposal or invoice. Common arrangements include:

• A deposit or partial payment required before work begins
• Milestone-based payments tied to project phases
• Monthly retainer payments for ongoing services
• Full payment upfront for smaller fixed-scope projects

All prices are quoted in Canadian dollars (CAD) unless otherwise stated. Payments are processed securely via Stripe. Invoices are due upon receipt unless alternative terms are specified in writing.

Completed deliverables, website files, or login credentials will not be transferred until all outstanding balances are paid in full.

5. Refunds & Cancellations

We handle refund and cancellation requests on a case-by-case basis, taking into account the stage of the project, work already completed, and the circumstances surrounding the request.

General guidelines:

• Before work begins: If you cancel before any work has commenced, a full or partial refund of any deposit may be considered depending on administrative time already invested.
• During the project: If work is already underway, refunds (if any) will reflect only the portion of work not yet completed. Compensation for completed work is non-refundable.
• After delivery: Once a final deliverable has been approved and/or transferred, no refunds will be issued.

To request a cancellation or discuss a refund, contact us as soon as possible at hello@yourbizsite.ca. All refund decisions are made at our sole discretion and will be communicated in writing.

6. Intellectual Property

Upon receipt of full payment for a project, you will own the final deliverables created specifically for you (such as your website design and custom content), unless otherwise specified in your project agreement.

We retain ownership of:

• Any proprietary tools, frameworks, templates, or code libraries we use in the development process
• General methodologies, workflows, and processes developed independently of your project

You grant us permission to display completed work in our portfolio and marketing materials unless you request confidentiality in writing prior to project commencement.

You are responsible for ensuring that any content, images, or materials you provide to us are legally licensed for use. We are not liable for any intellectual property infringement arising from materials supplied by you.

7. Confidentiality

We treat all client information shared with us — including business plans, financials, customer data, and proprietary processes — as confidential. We will not disclose your confidential information to third parties without your consent, except as required by law.

Similarly, any proprietary tools, pricing, or internal processes we share with you in the course of our engagement are confidential and should not be disclosed to third parties.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Brents Essentials Corp shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of revenue, loss of data, or business interruption — arising from your use of our services or website.

Our total liability to you for any claim arising from our services shall not exceed the total amount paid by you to us in the three (3) months preceding the claim.

We do not guarantee specific business outcomes, search engine rankings, lead volumes, or revenue results from any website or marketing service we deliver. Results depend on many factors outside our control.

9. Termination

Either party may terminate an active project engagement by providing written notice. Upon termination:

• You remain responsible for payment of all work completed up to the termination date
• We will deliver any completed work product that has been paid for
• Deposits and payments for work already in progress are non-refundable unless otherwise agreed in writing

We reserve the right to terminate services immediately if a client is abusive, engages in fraudulent activity, or materially breaches these Terms.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

11. Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will revise the "Last Updated" date below. Continued use of our website or services after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
